1. Who these terms are between

These terms are between Xpectrum Ltd, trading as Dulycore ("Dulycore", "we"), and the business on whose behalf an account is created ("you"). Dulycore is a business-to-business service: by creating an account you confirm you are acting in the course of a business, not as a consumer.

2. What Dulycore is — and is not

Dulycore tracks compliance obligations: it maps deadlines from public records and the information you provide, holds the documents you upload, and reminds you before dates fall due. It is an information and tracking service. It is not legal, tax, accounting or immigration advice, and no output of the service is a substitute for professional advice on your circumstances.

Dates and statuses are derived from the sources shown against them. Where a source is wrong or late, the derived date can be wrong or late; the service shows you when each source was last checked so you can judge freshness for yourself.

3. The free calendar

The compliance calendar is free for one company per account, indefinitely. It is not a trial and does not expire. We may change what the free tier includes on reasonable notice, but a calendar you already hold will not be taken away.

4. Paid modules and additional companies

Paid modules are priced per company, at the prices published on the pricing page, exclusive of VAT. Each additional company on an account carries the additional-company fee shown there, waived for any company that carries a paid module. Subscriptions renew monthly or annually until cancelled; cancellation takes effect at the end of the paid period. Price changes apply from your next renewal, on at least 30 days' notice.

5. Filings are confirmed by you

Where a module prepares a filing, nothing is submitted to any regulator without a named person on your account reviewing and confirming it. That confirmation is yours: you are responsible for the accuracy of what you confirm, and for meeting your obligations whether or not a reminder was sent or received.

6. Your data and ours

You retain all rights in the documents and data you upload; you grant us the licence needed to process them to provide the service. We process personal data as described in the privacy notice. We may use aggregated, de-identified usage information to improve the service.

7. Acceptable use

You must not use Dulycore to break the law, to upload material you have no right to hold, to probe or disrupt the service, or to resell it without our written agreement. Accounts used in breach may be suspended or closed.

8. Liability

Nothing in these terms excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Subject to that: we are not liable for penalties, fines, interest or losses arising from missed or misstated obligations — the service tracks obligations, it does not assume them; we are not liable for indirect or consequential loss; and our total liability in any 12-month period is capped at the amounts you paid us in that period, or £100 where you use only the free tier.

9. Ending the agreement

You can close your account at any time. We can suspend or close accounts for material breach, and can withdraw the service on at least 90 days' notice. On closure you can export your data for 30 days; after that it is deleted per the privacy notice.

10. General

We may update these terms; material changes are notified to account holders by email at least 30 days before they take effect. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
